Legislative Decree 231/01

In accordance with Italian Legislative Decree no. 231/2001, the companies of the Caronte & Tourist Group have adopted Organisational, Management and Control Models (so-called “Model 231”) aimed at preventing crimes committed in the interest or to the advantage of the company.

To ensure effective application of these models, the Group has:

Launched a specific training programme for all personnel

Appointed a Supervisory Body (Organismo di Vigilanza – OdV) with independent powers of initiative and control, as provided by law

To support and facilitate the flow of information to the Supervisory Body, the Group has adopted dedicated communication channels, including:

An advanced digital whistleblowing platform has also been implemented, enabling the confidential reporting of potential misconduct. Full details are available via the dedicated section on the corporate website.

The Supervisory Body (OdV), appointed by Board resolution, is composed of three external members and is tasked with overseeing the implementation and compliance with the Model, as well as proposing updates. It operates autonomously and independently, with no operational duties.

The Supervisory Body (OdV) was established by resolution of the Board of Directors and operates based on principles of autonomy and independence, without performing operational tasks. It monitors the functioning and effectiveness of the Model and suggests updates as needed.

The Supervisory Body (OdV) was appointed by the Board of Directors and is responsible for ensuring compliance with and effectiveness of the Model 231. It acts autonomously and independently, without taking on operational roles.
